Acceptance of these terms

By accessing or using smbnest, you agree to these Terms of Service. If you do not agree, do not use the service.

What smbnest is

smbnest is an information and media platform. We publish business models, editorial reviews, market data, and listings to help people learn about, start, buy, operate, and sell small businesses.

Our content is for general educational and informational purposes only. It is not financial, investment, legal, accounting, or tax advice, and it is not a substitute for advice from a qualified professional who knows your specific situation.

Eligibility and your account

You must be at least 18 years old to use smbnest. You agree to provide accurate information and to keep it current. You are responsible for activity under your account and for keeping your credentials secure, and you agree to notify us promptly of any unauthorized use.

Subscriptions, billing, and cancellation

Paid plans are billed in advance through our payment processor, Stripe, on the cycle you select. Free trials, where offered, convert to paid subscriptions unless cancelled before the trial ends.

Subscriptions renew automatically until you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated, fees are non-refundable. We may change prices, with notice, effective at your next renewal.

Acceptable use

You agree not to scrape, crawl, bulk-extract, reverse engineer, resell, or republish our content; not to use the service for any unlawful, infringing, or harmful purpose; and not to attempt to gain unauthorized access to the service or interfere with its operation.

Our content and intellectual property

The smbnest platform and its content - including business models, reviews, data, text, design, and software - are owned by smbnest LLC or its licensors and are protected by intellectual-property laws. While your subscription is active, we grant you a limited, personal, non-transferable license to access the content for your own use. No other rights are granted.

Third-party links, partners, and affiliates

The service links to third-party products and services, and we may earn a commission when you use them. These relationships are disclosed where they appear and never change our editorial verdicts. We do not control and are not responsible for third-party sites, products, or services, and your dealings with them are solely between you and the third party.

Businesses-for-sale listings

Where smbnest surfaces businesses for sale, we act solely as a media and information platform. We do not represent buyers or sellers, do not broker or negotiate transactions, do not independently verify listing details, and do not hold or escrow funds.

Listings and any accompanying commentary are provided for information only and are not an offer, recommendation, or solicitation to buy or sell any business. You are responsible for conducting your own due diligence and engaging your own licensed professionals before entering any transaction.

Disclaimers

The service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not warrant that the service or its content will be accurate, complete, uninterrupted, or error-free, or that any particular result will be achieved.

Limitation of liability

To the maximum extent permitted by law, smbnest and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the claim arose.

Indemnification

You agree to indemnify and hold harmless smbnest from claims and expenses arising out of your misuse of the service or your violation of these terms.

Termination

We may suspend or terminate your access if you violate these terms or to protect the service and its users. You may stop using the service at any time.

Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Harris County, Texas, unless applicable law requires otherwise.

Changes to these terms

We may update these terms from time to time. When we do, we will revise the date below, and your continued use of the service means you accept the updated terms.
